Job Purpose To assist the Company Secretary in planning, monitoring, and implementing all the secretarial activities of the Company (including its subsidiaries and associate companies) to ensure compliance of rules and regulations under the applicable laws. Job Context & Major Challenges Corporate Finance Division was set up to start with resource mobilisation and centralised treasury operations, the responsibilities of CFD have, over the period, increased manifold and includes investor relationships, corporate governance, taxation, and continuous financial and business restructuring. The Corporate Secretarial work, including co-ordination with Registered Office is at CFD, Mumbai. The job basically involves analysis of applicability of various laws to the Company its subsidiaries & associate companies and ensuring compliance thereof. Given the dynamic regulatory framework, the challenge lies in ensuring compliance of laws, particularly corporate laws and to devise systems to ensure the same, so that there are no adverse implications on the Company, financial or otherwise. Major Challenges Ensure statutory compliance for the assigned jobs of the company / subsidiaries / associate companies Provide assistance in implementation of corporate governance norms across Units / companies / subsidiaries / associate companies. Assist in various activities relating to corporate / financial restructuring including mergers and acquisitions of the company / subsidiaries / associate companies. Continuous review of system/procedures for further improvement. Key Result Areas Key Result Areas/ Accountabilities Supporting Actions Board & Committee Meeting Review of Notice, Agenda, Minutes of Board and Committee meetings Review of intimations/disclosure with Stock Exchanges Review of e-forms with Registrar of Companies Compliance with Insider Trading norms Review of Deviations reported under Fintrak. Updation of Code of Conduct for Insider Trading E-mail and SMS to Designated Persons Webinars with all the Business for creating awareness about the compliance with Code of Conduct for Insider Trading Updation of Structured Digital Database from time to time Related Party Transactions Review of related party transactions Updated with the changes in the provisions of related party Audit Support and provide documents to Statutory and Secretarial Audit for quarterly audit Annual Report, Printing and Distribution, Shareholders Meeting and Postal Ballot Drafting of Boards Report and Annexures thereto. Drafting of Annual Report which is required from Secretarial Department. Ask for relevant data from all the Units and compile the same for Annual Report. Co-ordinate with other departments of CFD for data required from them. Co-ordinate with Printer for printing of Annual Report. Arrange for list of shareholders for dispatch of Annual Report Arrange for list of shareholders to whom Annual Report to be sent on e-mail. Draft Notice and Postal Ballot Form Co-ordinate with various agencies / departments connected with Shareholders Meeting and Postal Ballot 10. Preparation for conducting E-voting. Planning and implementation of other activities related with the above matter(s). Other Activities - Issue of NCD & Commercial Papers and matters relating thereto, Updation of Website, Corporate Action, RBI Return, Liaisoning Arrange for updation of Website (Investor Section) and keep track of the same. Arrange Corporate Action for Issuance of Commercial Paper / ESOP etc. Collection of data, completion and filing of RBI Annual Return. Liaisoning with various Statutory Authorities BSE, NSE, SEBI, ROC, RD, RBI etc.,
