Job Description

Role:

The Manager -Legal & Company Secretary will be responsible for managing the secretarial, legal and compliance functions of the company. The role involves ensuring adherence to corporate laws, maintaining statutory records, supporting the Board and management in governance matters, reviewing and drafting contracts and overseeing risk and regulatory compliances across business operations.


Responsibilities:

Secretarial & Governance

  • Ensure compliance with the provisions of the Companies Act, 2013, and other applicable corporate laws.
  • Prepare and maintain statutory registers, records, and filings with MCA, ROC and other regulatory authorities.
  • Draft, review and finalize Board and General Meeting agendas, notices, and minutes.
  • Ensure timely filing of annual returns, forms, and other statutory documents.
  • Liaise with auditors, consultants and regulators on secretarial matters.

Legal & Contract Management

  • Draft, vet and review a commercial contracts, NDAs, service agreements and vendor/customer contracts.
  • Advise internal stakeholders on legal risks, rights and obligations related to business operations.
  • Coordinate with external counsels for legal opinions, dispute management & litigations.
  • Maintain a central repository of all legal documents and agreements.

Risk & Compliance Management

  • Oversee implementation of corporate policies, internal controls and compliance framework.
  • Conduct periodic compliance reviews and risk assessments to identify gaps and recommend corrective measures.
  • Support in developing a culture of compliance and ethical governance across the organization.

Skill & Qualification:

  • Qualified Company Secretary (active member of ICSI) & LL.B. from good law college.
  • 7-11 years of experience in secretarial, legal and compliance functions within a corporate setup, preferably in IT/Services sector.
  • Strong knowledge of Companies Act, FEMA, and other corporate and regulatory frameworks.
  • Hands-on experience in drafting and reviewing legal agreements and managing statutory compliances.
  • Excellent communication, drafting and analytical skills.
  • High attention to detail, integrity, and ability to manage multiple priorities.
  • Should have international experience.
  • Proficiency in MS Office and experience with compliance management tools will be an advantage.
