Summary As a Senior Manager Transaction Advisory, you will lead deal advisory engagements end to end, manage cross-functional teams, and advise clients on financial transactions including M&A as well as private or public market fund raises. You will work closely with investors, corporate executives, and financial institutions to deliver end to end buy-side and sell-side transaction advisory, due diligence, and valuation services. Responsibilities Transaction Advisory & Deal Execution Lead M&A transactions, including deal structuring, financial analysis, and valuation. Manage financial due diligence (including key valuation considerations such as Quality of Earnings, adjusted net debt, normalised working capital assessment, risk analysis and mitigation strategies). Provide buy-side and sell-side advisory support, including deal negotiation and closing strategies. Support clients in capital raising efforts, including private equity, venture capital, and debt financing. Support clients in public fund raise through IPOs by managing the end-to-end IPO process and co-ordinating the efforts of all external advisors and professionals involved. Work with legal, tax, and financial advisors to structure deals efficiently. Financial & Commercial Analysis Oversee valuation models, financial projections, and scenario analyses. Assess synergies, integration risks, and commercial feasibility of transactions. Prepare investment memorandums, pitch books, and board presentations. Identify red flags and risks during due diligence and recommend risk mitigation strategies. Client & Stakeholder Management Act as a trusted advisor to clients, providing strategic and financial insights. Lead C-suite interactions, guiding executives on transaction strategy and execution. Develop and maintain relationships with private equity firms, investment banks, and corporate clients. Team Leadership & Business Development Mentor and develop junior team members, fostering a high-performance culture. Contribute to business development efforts, including proposal writing and client pitches. Identify new opportunities for advisory services, partnerships, and market expansion. Qualification & Experience Education: CA (most preferable), MBA, CFA or equivalent finance/accounting qualification Experience: 6-8 years in transaction advisory, investment banking, corporate finance, or private equity Strong expertise in financial due diligence, M&A, valuations, and deal structuring Advanced financial modelling and valuation skills (DCF, LBO, Comparable Multiples) Proven ability to manage complex transactions, tight deadlines, and multiple stakeholders Strong negotiation and communication skills, with experience in board-level discussions Excellent problem-solving, analytical and quantitative abilities Experience in leading teams and mentoring junior professionals,
